Case Study – strategic financial advice:

We were approached by an existing personal tax client to help in his plans to buy and integrate three separate businesses. Our work in this area consisted of:

  • preparing a comprehensive set of forecasts with built-in sensitivity analysis, allowing banks and investors alike to assess the feasibility of the project under varying scenarios
  • discussing the forecasts with banks and investors, leading to the subscription of the required investor funds and bank financing
  • carrying out detailed financial due diligence on the target businesses and reporting both to the client and banks
  • advising on the appropriate structure of the acquiring vehicle and working closely with the legal advisors to achieve this
  • arranging and obtaining EIS clearance for all investors
  • advising on all tax structures, including VAT, and obtaining clearances and consents.

In addition, we worked with the client post-acquisition in developing group accounting policies and reporting systems. We also provided the group with the necessary advice and assistance they required in integrating all their existing systems and train their staff. We were also appointed group auditors.

Ultimately we assisted in achieving a successful exit for the investors after a number of years of trading, and repayment of all debt finance.
